1. Acceptance of Terms
By accessing or using DhyanaTech products ("the Service"), including DhyanaERP, DhyanaPM, and DhyanaCFO, provided by DhyanaTech Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
We may update these Terms at any time. We will notify you of material changes by posting a notice in the Service or via email. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. Description of Service
The Service consists of web-based applications and progressive web apps (PWAs) for project management, ERP, financial management, and related functions.
We may modify, suspend, or discontinue any aspect of the Service at any time, including features, databases, or content.
Optional third-party integrations. The Service offers optional integrations with third-party platforms (including QuickBooks Online and ADP Workforce Now) that you may choose to enable. When you enable an integration, you authorize us to exchange data with that platform on your behalf to provide the requested functionality. Your use of any third-party platform is also subject to that platform's own terms and privacy policy, and we are not responsible for the security, availability, or practices of third-party platforms.
Beta Disclaimer (if applicable): Some features may be experimental. Beta functionality is provided "as-is" and may contain bugs or incomplete features. Provider will use commercially reasonable efforts to address issues reported by beta users.
3. User Accounts
To use certain features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update information if it changes
- Accept responsibility for all activity under your account
- Notify us immediately of unauthorized use
Users must be at least 16 years old.
4. User Responsibilities
When using the Service, you agree not to:
- Violate applicable laws or regulations
- Infringe on the intellectual property of others
- Upload malicious code, viruses, or harmful content
- Attempt unauthorized access to the Service or other accounts
- Use the Service for illegal or unauthorized purposes
- Interfere with or disrupt the Service or servers
- Collect information about other users without consent
- Use automated means to access the Service without permission
5. Intellectual Property
The Service, its content, features, and functionality are owned by DhyanaTech Inc. and protected under copyright, trademark, patent, trade secret, and other laws.
Users retain ownership of content they create using the Service. By using the Service, you grant DhyanaTech a limited license to store and display your content solely to provide the Service.
6. Payment and Subscriptions
Certain features may require paid subscriptions. By subscribing, you agree to pay associated fees. Fees are billed in advance monthly or annually.
You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods unless required by law.
Contract Integration: The Master Agreement or Beta Addendum may override standard subscription pricing or payment terms.
7. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DHYANATECH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUES, WHETHER DIRECT OR INDIRECT.
Total liability for claims arising from use of the Service shall not exceed the amount paid to DhyanaTech in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless DhyanaTech, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
9. Termination
DhyanaTech may suspend or terminate accounts immediately for any reason, including breach of Terms.
Upon termination, your right to use the Service ends immediately. You may request your data within 30 days; afterwards, data may be deleted per our retention policies.
10. Data Privacy & Security
Use of the Service is governed by the DhyanaTech Data Processing Addendum (DPA) and Security Exhibit. By using the Service, you agree to the collection, processing, and storage of data as described therein.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved in Delaware courts.
12. Severability
If any provision is invalid or unenforceable, the remainder shall remain in full force.
